Agreement
By using www.canadianenergyinsight.com (the “Site”), you agree to be bound by the TOU. If you do not agree to the terms and conditions contained in the TOU and Canadian Energy Insight’s privacy policy (the “Privacy Policy”), your sole recourse is to leave the Site immediately. The TOU applies to the entire contents of the Site and to any correspondence between us and you through the Site or by e-mail. User Conduct

We reserve the right to access, read, preserve, and disclose any User Submissions (whether published or not) or any other information we believe is reasonably necessary to (a) comply with any applicable law, regulation, legal process, subpoena or governmental or regulatory request, (b) enforce these TOU, including investigation of potential violations of it, (c) detect, prevent, or otherwise address fraud, security or technical issues, (d) respond to user support requests, or (e) protect the rights, property or safety of Canadian Energy Insight, its users, yourself or the public.

Indemnification

This defense and indemnification obligation will survive these TOU and your use of the Site.
Changes and Termination
Canadian Energy Insight reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. Further, Canadian Energy Insight reserves the right to change the TOU at any time and to notify you by posting an updated version of the TOU on the Site. You are responsible for regularly reviewing the TOU, including, without limitation, by checking the date of “Last Update” at the bottom of this document. Continued use of the Site after any such changes shall constitute your consent to be bound by such changes, with continued provision of the use of the Site constituting consideration from Canadian Energy Insight to you for so being bound. Your only right with respect to any dissatisfaction with (1) the TOU (2) any policy or practice of ours in operating the Site or (3) any Content available through the Site, is to stop visiting and using the Site.
Governing Law and Enforceability
The Site is directed solely to individuals residing in jurisdictions in which provision of the Site’s content is legal. We make no representation that materials provided on the Site are appropriate or available for use in other locations. Those who choose to access the Site from other locations do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent applicable. The TOU, together with all Canadian Energy Insight policies referred to herein, constitutes the entire agreement between you and Canadian Energy Insight relating to your use of the Site, including the Content, and supersedes and any all prior or contemporaneous written or oral agreements on that subject between us. Unless the applicable laws of your jurisdiction, such as Quebec, require that the laws of your jurisdiction govern, the TOU, the Privacy Policy and the relationship between you and Canadian Energy Insight are governed by and construed in accordance with the laws of Alberta, Canada, without regard to its principles of conflict of laws. You and Canadian Energy Insight agree to submit to the personal and exclusive jurisdiction of a court of competent jurisdiction in the judicial district of Calgary, Province of Alberta, and waive any jurisdictional, venue, or inconvenient forum objections to such courts. If any provision of the TOU is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the TOU and shall not affect the validity and enforceability of any remaining provisions. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in the TOU is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof. The TOU shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, which is expressly excluded and you also expressly agree to exclude the applicability of the Uniform Computer Information Transactions Act.
A printed copy of the TOU and of any notice in electronic form shall be admissible in any judicial or administrative proceedings to the same extent and under the same conditions as other business documents and records originally generated and maintained in printed form. You agree that you will only sue us as an individual. You agree that you will not file a class action, or participate in a class action.
Any document or order properly transmitted electronically in connection with the Site shall be considered to be a “writing” or “in writing,” and any such document or order when containing, or to which there is affixed, a signature (including, but not limited to, an electronic identification consisting of symbols or codes which are to be affixed to or contained in a transmitted document or order) shall be deemed for all purposes to have been “signed” and to constitute an “original” when printed from electronic files or records established and maintained in the normal course of business. You and we each agree not to contest the validity or enforceability or admissibility of any electronically signed and/or transmitted document or order under the provisions of any applicable law relating to whether certain agreements are to be in writing or signed by the party to be bound thereby. Unless the applicable laws of your jurisdiction, such as Quebec, require that the laws of your jurisdiction govern, the TOU, the Privacy Policy and the relationship between you and Canadian Energy Insight are governed by and construed in accordance with the laws of Alberta, Canada, without regard to its principles of conflict of laws. You and Canadian Energy Insight agree to submit to the personal and exclusive jurisdiction of a court of competent jurisdiction in the judicial district of Calgary, Province of Alberta, and waive any jurisdictional, venue, or inconvenient forum objections to such courts. If any provision of the TOU is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the TOU and shall not affect the validity and enforceability of any remaining provisions. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in the TOU is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof. The TOU shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, which is expressly excluded and you also expressly agree to exclude the applicability of the Uniform Computer Information Transactions Act.
A printed copy of the TOU and of any notice in electronic form shall be admissible in any judicial or administrative proceedings to the same extent and under the same conditions as other business documents and records originally generated and maintained in printed form. You agree that you will only sue us as an individual. You agree that you will not file a class action, or participate in a class action.
Any document or order properly transmitted electronically in connection with the Site shall be considered to be a “writing” or “in writing,” and any such document or order when containing, or to which there is affixed, a signature (including, but not limited to, an electronic identification consisting of symbols or codes which are to be affixed to or contained in a transmitted document or order) shall be deemed for all purposes to have been “signed” and to constitute an “original” when printed from electronic files or records established and maintained in the normal course of business. You and we each agree not to contest the validity or enforceability or admissibility of any electronically signed and/or transmitted document or order under the provisions of any applicable law relating to whether certain agreements are to be in writing or signed by the party to be bound thereby. We reserve the right to require you to sign a non-electronic version of the TOU.
